Terms governing the supply of goods, 3D printing, additive manufacturing, engineering services and online tools provided by North Sea 3D Ltd.
These Terms and Conditions apply to the supply of goods and services by North Sea 3D Ltd, trading as NS3D ("NS3D", "we", "us" or "our"), and to use of the free online tools made available through the NS3D website.
By placing an order, accepting a quotation, instructing us to commence work or using services supplied by NS3D, the customer ("you" or the "Customer") agrees to these Terms and Conditions.
Any quotation, specification, statement of work or other written agreement issued or accepted by NS3D forms part of the agreement between NS3D and the Customer. If an expressly agreed written project term conflicts with these Terms, the expressly agreed project term will take precedence to the extent of that conflict.
Quotations are based on the information, drawings, specifications and digital files available to NS3D at the time the quotation is prepared.
Unless stated otherwise, quotations are estimates and remain subject to confirmation before manufacture. Changes to geometry, quantity, material, finishing, delivery requirements or other specifications may result in a revised quotation.
An order is accepted when NS3D confirms acceptance of the order or commences the agreed work.
The Customer is responsible for ensuring that all CAD models, STL files, STEP files, drawings, dimensions, specifications and other information supplied to NS3D are accurate, complete and suitable for their intended purpose.
Unless specifically agreed otherwise, NS3D is entitled to manufacture according to the digital model, specification or drawing supplied or approved by the Customer.
Where NS3D identifies an apparent error, manufacturing concern or ambiguity, we may contact the Customer for clarification. This does not transfer responsibility for the underlying design or engineering suitability of the component to NS3D unless that responsibility has expressly been included in our agreed scope.
The Customer confirms that it is authorised to provide the files, data and information supplied to NS3D and to permit NS3D to use them for the agreed purposes.
Additive manufacturing processes are subject to normal manufacturing tolerances and process variations. Dimensions, surface finish, colour, texture, orientation marks and other characteristics may therefore vary within reasonable manufacturing limits.
Unless specific tolerances or acceptance criteria have been agreed in writing before manufacture, components will be produced to NS3D's normal process capabilities.
Images, samples and digital renderings are illustrative. The appearance of finished components may vary due to material batches, manufacturing orientation, post-processing and display conditions.
NS3D will manufacture components using the material agreed with the Customer.
Published material properties are normally based on manufacturer data and specified test conditions. Actual performance may vary according to geometry, build orientation, processing, environmental conditions and application.
Unless expressly agreed in writing, selection of a material does not constitute certification by NS3D that the component is suitable for a particular safety-critical, regulated or engineering application.
The Customer must provide information reasonably required by NS3D to complete the work and obtain any permissions, licences, approvals or consents necessary for the manufacture, export, import, possession and use of the goods.
The Customer is responsible for determining whether the finished component is suitable for its intended application unless NS3D has expressly agreed in writing to undertake that responsibility.
The Customer retains ownership of intellectual property rights in CAD files, drawings, designs and other materials supplied by the Customer, subject to any existing third-party rights.
By supplying a file or design to NS3D, the Customer confirms that it owns the necessary rights or has permission to use the material and to authorise NS3D to manufacture from it.
The Customer grants NS3D a limited right to use supplied files and information solely as reasonably required to assess an enquiry, prepare a quotation and provide the requested manufacturing, engineering or associated services.
Intellectual property independently developed, owned or licensed by NS3D remains with NS3D or the relevant licensor unless expressly agreed otherwise in writing. This includes NS3D software, website tools, algorithms, workflows, manufacturing methods, processes, reusable engineering methods, know-how, tooling concepts and original designs.
Performing engineering or design work for a Customer does not, by itself, transfer NS3D's pre-existing or independently developed intellectual property, background know-how or reusable methods to the Customer.
NS3D will take reasonable measures to protect confidential technical and commercial information supplied by Customers.
Customer designs, CAD files and project information will not knowingly be published or used for marketing purposes without appropriate permission where the information is confidential or subject to an agreed non-disclosure arrangement.
Where a separate NDA or confidentiality agreement has been entered into, that agreement will apply to the information within its scope.
The public NS3D website, free browser tools, ordinary email and public enquiry form are not represented as approved channels for security-classified, ITAR-controlled, export-controlled or similarly restricted technical information.
Customers must not submit such information through those channels unless appropriate handling, access, contractual and transfer arrangements have first been expressly agreed with NS3D.
For a potentially sensitive project, Customers should initially provide only the minimum information necessary to establish contact and allow suitable arrangements to be considered.
The Customer is responsible for informing NS3D where it knows, or reasonably ought to know, that goods, software, technical information, destinations, end users or intended end uses may be subject to export controls, sanctions, import restrictions or other regulatory requirements.
NS3D may decline, suspend or cancel work where we reasonably consider that proceeding may breach applicable law, require an authorisation that has not been obtained, or create an unacceptable compliance risk.
Nothing in these Terms requires either party to act in breach of applicable law or regulatory requirements.
Prices are those stated in the applicable quotation or order confirmation and are exclusive of VAT unless stated otherwise.
Payment terms will be stated on the quotation or invoice. NS3D reserves the right to require full or partial payment before manufacture begins.
For business customers, overdue invoices may be subject to statutory interest and recovery costs where applicable.
Customers should contact NS3D as soon as possible if they wish to change or cancel an order.
Where manufacture, material preparation, design work or other services have already commenced, NS3D may charge reasonable costs incurred up to the point of cancellation.
Many components manufactured by NS3D are produced to a Customer's individual design or specification. Statutory cancellation rights may not apply to genuinely bespoke or personalised goods. Nothing in these Terms affects any statutory rights that cannot legally be excluded.
Delivery dates are estimates unless expressly agreed otherwise in writing.
NS3D will make reasonable efforts to meet agreed delivery requirements but is not responsible for delays caused by circumstances outside our reasonable control.
The Customer should inspect goods following delivery and notify NS3D promptly of any apparent damage, shortage or manufacturing issue.
NS3D will provide its manufacturing and associated services with reasonable skill and care.
If goods supplied by NS3D do not conform to the agreed specification because of a manufacturing defect, the Customer should contact us promptly so that the issue can be investigated.
Where appropriate, NS3D may repair, remake or replace defective goods or provide another reasonable remedy. This does not affect statutory consumer rights.
NS3D provides browser-based viewers, measurement and analysis tools, mesh and file-repair tools, converters and other utilities. Unless expressly stated otherwise, these tools are provided free of charge for convenience and general technical assistance.
Results must be independently checked where a file, measurement, conversion, repair, analysis or recommendation will be relied on for manufacturing, engineering, regulatory, safety-related or other critical purposes.
NS3D does not guarantee that every file can be opened, displayed, measured, analysed, converted, exported or repaired successfully, that output files will be free from corruption or data loss, or that automated analysis will identify every geometric, dimensional, topology, manufacturing or printability issue.
Measurements and calculated values produced by browser tools may be affected by source-file geometry, units, tolerances, tessellation, numerical precision, software limitations or user selection. They should not be treated as certified inspection or metrology results.
A file being reported as repaired, valid, printable or free of detected errors does not constitute certification by NS3D that the file or resulting component is manufacturable, dimensionally correct, fit for purpose or compliant with any standard.
Users remain responsible for retaining appropriate copies of original files, checking any output generated by the tools and determining suitability before manufacture or use.
You must not use the NS3D website or tools unlawfully, attempt to compromise their security or availability, interfere with other users, bypass technical restrictions, introduce malicious code, or knowingly submit files designed to damage, exploit or disrupt NS3D systems.
You must not use the tools to process material where doing so would infringe another person's intellectual property, privacy or other legal rights.
NS3D may restrict access where reasonably necessary to protect the website, our systems, other users or our legal interests.
The NS3D website and online tools may incorporate or depend on third-party software, libraries, file-format components or open-source software. Such components may be subject to their own licences and notices.
References to third-party products, formats or services do not imply endorsement, certification or affiliation unless expressly stated.
NS3D may modify, update, suspend or discontinue website features and free online tools where reasonably necessary.
We do not guarantee uninterrupted availability of the website or online tools and may temporarily restrict access for maintenance, security or technical reasons.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to applicable law, NS3D will not be responsible for indirect or consequential losses arising from the use of goods, services or free online tools.
For business customers, and subject to liabilities that cannot legally be excluded or limited and to any applicable statutory controls on the reasonableness of contractual limitations, NS3D's total aggregate liability arising from or in connection with an order will not exceed the amount paid or payable by the Customer to NS3D for the goods or services giving rise to the claim.
Free online tools are supplied without a separate charge. Subject to applicable law, users are responsible for independently checking outputs before relying on them and for maintaining appropriate backups of source files.
Consumer statutory rights are not affected by this clause.
NS3D will not be liable for delay or failure to perform obligations caused by circumstances outside our reasonable control, including disruption to transport, utilities, communications, material supply, equipment, third-party services or other events that could not reasonably have been prevented.
Personal information supplied through the NS3D website or during an enquiry or order will be handled in accordance with applicable data protection legislation and our Privacy Policy.
Information about cookies, analytics and privacy choices is provided in our Cookie Policy.
These Terms and Conditions and any dispute or claim arising from them shall be governed by the laws of Scotland.
Where legally permitted, the Scottish courts shall have jurisdiction in relation to disputes arising from these Terms.
Nothing in this clause limits any rights a consumer may have regarding the courts or laws applicable to them.
NS3D may update these Terms and Conditions from time to time to reflect changes to our services, website, business practices or applicable requirements.
The version published on this website at the time an order is accepted will normally apply to that order unless otherwise agreed.
